    • All fees are exclusive of applicable taxes, which you are responsible for paying.
    • Late payments may result in service suspension, project delays, or additional charges.
    • Unless otherwise agreed, payments are non-refundable once work has commenced.

    6. Intellectual Property Rights

    • All pre-existing tools, frameworks, and systems developed or owned by Digital Horizon remain our exclusive intellectual property.
    • Upon full payment, you are granted a non-exclusive, perpetual license to use the deliverables (e.g. code, design, documentation) solely for your business purposes.
    • You may not copy, resell, distribute, or sublicense our proprietary materials without written consent.
    • You retain ownership of any content, trademarks, or materials you provide to us for use in your project.

    7. Confidentiality

    • Both parties agree to treat as confidential all non-public information shared during the project (including client data, code, business plans, or pricing).
    • Neither party will disclose such information without prior written consent, unless required by law.
    • Confidentiality obligations survive termination of this agreement.

    8. Data Privacy and Protection

    • Digital Horizon complies with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173).
    • Any personal data collected will be handled in accordance with our Privacy Policy.
    • We implement reasonable physical, technical, and organizational measures to protect data from unauthorized access, use, or disclosure.
    • You are responsible for ensuring that any data you provide is lawfully collected and shared with us.

    9. Warranties and Disclaimers

    • We warrant that Services will be performed with reasonable skill and care, consistent with industry standards.
    • EXCEPT AS EXPRESSLY STATED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

    • or any claim exceeding the amount you paid us in the 12 months prior to the claim.

    These limitations apply regardless of the legal theory and even if we were advised of possible damages.

    11. Indemnification

    You agree to indemnify and hold harmless Digital Horizon, its officers, employees, and agents from any claims, damages, losses, or liabilities arising from:

    • your use or misuse of the Services,
    • your violation of these Terms, or
    • your infringement of any third-party rights.

    12. Termination

    Either party may terminate a service agreement by written notice if the other materially breaches and fails to cure within 30 days.

    We may suspend or terminate access to Services if:

    • you fail to pay fees,
    • violate these Terms, or
    • use the Services for illegal activities.

    Upon termination:

    • You must stop using the Services.
    • Any unpaid fees become immediately due.
    • Sections on Intellectual Property, Confidentiality, and Limitation of Liability will continue to apply.

    13. Third-Party Tools and Links

    • Our Services may use or link to third-party APIs, software, or websites (e.g., payment gateways, cloud providers).
    • These are governed by their own terms and privacy policies, which you agree to review.
    • We are not responsible for the content or actions of third-party sites.
